Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and IRCC Vault (“we,” “us,” or “our”) governing access to and use of IRCC Vault at https://www.irccvault.com and related applications, APIs, emails, and services (collectively, the “Service”).

By creating an account, clicking “Create account,” purchasing a membership, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

You must:

• Be at least 18 years old (or the age of majority in your province or territory of residence).
• Have the legal capacity to enter into a binding contract.
• Provide accurate registration information and keep it up to date.
• Not be barred from using the Service under applicable law.

The Service is designed for individuals preparing Canadian permanent residence or related immigration documentation. It is not a substitute for regulated legal representation unless you separately engage a licensed professional outside the Service.

IRCC Vault is not affiliated with, endorsed by, or operated by Immigration, Refugees and Citizenship Canada (IRCC), the Government of Canada, or any provincial or territorial government.

Content, scores, NOC suggestions, duty wording, generated letters, eligibility estimates, news summaries, draw data, and consultant messages are provided for general information and productivity only. They do not constitute legal advice, immigration advice, or a guarantee of any immigration outcome.

You are solely responsible for verifying all information against official IRCC instructions, program requirements, and current policy before relying on it in an application. Officers assess applications on the full record; our tools cannot predict individual decisions.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Notify us promptly at contact@irccvault.com if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for extended periods where permitted by law.
• One person should not share a single login across multiple unrelated users.

The Service may include, among other features:

• NOC Finder and related occupational classification assistance.
• Job Duties Analyzer and Job Duties Generator.
• Reference Letter Generator and export formats.
• PR eligibility / CRS-style calculators and improvement suggestions.
• PR Application Tracker and shareable timeline links where enabled.
• Immigration news and Express Entry draw information (aggregated from public sources).
• Membership tiers (Starter, Navigator, Elite) with different access levels as described on the pricing page.
• Elite private consultant messaging with our team (human responses, not an automated legal chatbot).

We may add, modify, or discontinue features at any time. Beta or preview features may be incomplete or change without notice.

Many outputs are produced using artificial intelligence and automated logic. Such outputs may be incomplete, outdated, or incorrect. You must review, edit, and validate all generated text before use in any application, employer letter, or official submission.

You grant us the rights necessary to process your inputs through our systems and third-party AI providers to deliver the Service, as described in the Privacy Policy. Do not submit sensitive information you are not comfortable processing through cloud AI systems.

We do not warrant that AI outputs are unique, non-infringing, or free of bias. Similar outputs may be produced for other users with similar inputs.

You retain ownership of content you submit (“User Content”), including job descriptions, messages, tracker entries, and uploaded text. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, display, and transmit User Content solely to operate, improve, and secure the Service and as otherwise described in the Privacy Policy.

You represent that:

• You have the right to submit User Content and to grant the licence above.
• User Content does not violate law, third-party rights, or these Terms (including confidentiality and employer policies).
• You will not submit unlawful, harassing, defamatory, or malicious material through consultant or contact channels.

You agree not to:

• Use the Service for any unlawful purpose or to misrepresent immigration status or credentials.
• Scrape, crawl, or reverse engineer the Service except as permitted by law.
• Circumvent access controls, tier limits, or payment requirements.
• Overload infrastructure (excessive automated requests, denial-of-service patterns).
• Impersonate another person or misrepresent affiliation with IRCC or IRCC Vault.
• Resell or commercially exploit the Service without written permission.
• Upload malware or attempt unauthorized access to our or third-party systems.

We may investigate violations and cooperate with law enforcement where required.

9.1 Plans and access

Paid plans (Navigator, Elite) unlock features as described at checkout and on our pricing page. Starter (free) access may include previews or limits. Feature availability may change.

9.2 Payment processing

Payments are processed by Stripe. By subscribing, you also agree to Stripe’s applicable terms. You authorize us and Stripe to charge your payment method for recurring subscriptions until you cancel.

9.3 Renewal and cancellation

Subscriptions renew automatically for the billing period shown at purchase unless you cancel through the Stripe customer portal or other method we provide. Cancellation typically takes effect at the end of the current paid period unless stated otherwise at purchase.

9.4 Price changes

We may change prices or plan features with notice where required by law. Continued use after a price change for a new billing cycle constitutes acceptance unless you cancel before renewal.

9.5 Refunds

Except where required by applicable consumer protection law or expressly stated in a promotion, fees are non-refundable once a billing period has begun. Contact contact@irccvault.com for billing disputes — we will review good-faith requests but are not obligated to provide partial refunds for partial use.

9.6 Promotional codes

Promotional or discount codes may be subject to expiry, eligibility, and one-time use rules stated at issuance. We may revoke codes obtained through abuse or fraud.

Elite may include asynchronous messaging with members of our team. Response times are not guaranteed. Messages are for educational and strategic discussion within the scope of the Service — not for emergency situations or filing deadlines without your own verification.

We may retain message history for quality, training context, and support. Do not send passwords, full passport numbers, or payment card data through chat.

The Service integrates third-party providers (hosting, database, email, payments, analytics, AI). Your use of those services may be subject to separate terms. Links to external sites are provided for convenience; we are not responsible for third-party content or practices.

The Service, including software, design, branding, text we author, and compilations of data, is owned by us or our licensors and protected by copyright, trademark, and other laws. Except for the limited rights expressly granted, no licence is transferred to you.

Official government materials and NOC datasets remain subject to their respective terms; our presentation and tools around them are our proprietary work product.

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• Outputs will be accurate, complete, or current for your immigration pathway.
• Any particular CRS score, NOC code, or strategy will succeed with IRCC or an employer.

To the maximum extent permitted by applicable law, in no event shall IRCC Vault, its directors, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or immigration outcomes, arising from or related to the Service or these Terms, whether based on warranty, contract, tort (including negligence), statute, or any other theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Service or these Terms in any twelve (12) month period shall not exceed the greater of (a) the amounts you paid us for the Service in that period, or (b) one hundred Canadian dollars (CAD $100), except where liability cannot be limited under applicable consumer protection law.

Some jurisdictions do not allow certain exclusions or limitations; in those cases, our liability is limited to the minimum extent permitted by law.

You agree to defend, indemnify, and hold harmless IRCC Vault and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

You may stop using the Service at any time and may request account deletion subject to our Privacy Policy and legal retention obligations.

We may suspend or terminate your access immediately for breach of these Terms, risk to the Service or other users, non-payment, or as required by law. Upon termination, sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules that would apply another jurisdiction’s laws.

You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for disputes arising from these Terms or the Service, except where consumer protection law in your province requires a different forum.

Before filing a claim, you agree to contact us at contact@irccvault.com to attempt informal resolution within thirty (30) days.

We may modify these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be notified by email or prominent notice in the Service.

Your continued use after the effective date of changes constitutes acceptance. If you disagree, you must stop using the Service and cancel any paid subscription before renewal.

• Entire agreement: These Terms and the Privacy Policy are the entire agreement regarding the Service, superseding prior understandings on the same subject.
• Severability: If any provision is unenforceable, the remainder stays in effect.
• No waiver: Failure to enforce a provision is not a waiver of future enforcement.
• Assignment: You may not assign these Terms without our consent; we may assign in connection with a business transfer.
• Language: These Terms are drafted in English. Any translation is for convenience only.
